Terms & Conditions of Services
NOTICE: PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. BY SUBMITTING PAYMENT, SCHEDULING TIME, AND/OR MATERIAL FOR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS & CONDITIONS STATED BELOW. IF YOU DO NOT AGREE TO THE TERMS & CONDITIONS STATED BELOW, PLEASE DO NOT SUBMIT ANY MATERIAL OR SCHEDULE TIME WITH AUDIO BLUEPRINT. AUDIO BLUEPRINT RESERVES THE RIGHT TO CHANGE, MODIFY OR AMEND THESE TERMS AND CONDITIONS WITHOUT ANY NOTICE. FULL PAYMENT IS REQUIRED PRIOR TO COMMENCEMENT OF SERVICE. SERVICES RENDERED BY AUDIO BLUEPRINT ARE NOT “A WORK FOR HIRE”. DUE TO THE NATURE OF OUR WORK, THERE ARE NO REFUNDS. WE RESERVE THE RIGHT TO REFUSE SERVICE TO ANYONE AT ANY TIME WITHOUT DISCLOSING A REASON
LIMITATION OF LIABILITY
In no event shall Audio Blueprint or its producers, staff, affiliates, licensors, suppliers, or vendors, officers, directors, employees, or agents, be liable for any special, incidental, indirect, or consequential damages of any kind, or for any damages whatsoever resulting from loss of use, data or profits, whether or not Audio Blueprint has been advised of possibility of the damage, arising out of or in connection with the use or performance of any equipment or of failure to provide services that you request from Audio Blueprint or its affiliates, including without limitation, damages arising from mistake, audio glitches, omission, virus, delay, or interruption of service. In no event shall Audio Blueprint be liable or responsible for any damages or consequences arising from the use of our services.
PAYMENT
A full payment is due at the start of each project. No materials will be released until payment is made in full. All payments are to be made in either cash or by credit card. We do not accept personal or company checks. If a payment from you is returned unpaid or declined for payment for any reason, there is a $200 return payment charge. No services will be rendered until funds for payments are cleared. In the event Audio Blueprint is working on multiple projects for you, each project will be treated individually. There will be no commingling of projects. The initial project must be paid in full before the commencement of any other subsequent projects.
LISTED CREDITS FOR SERVICES
All credits for our services will be listed credits on your projects. You will be informed of how Audio Blueprint's credits will be listed on your project by us and you agree to list such credits as we request.
RUSH SERVICE
A rush service fee will be applied to any project in which materials are needed before the estimated delivery date given to you by us. Rush service fees are at minimum $500 and will increase depending on the time constraints given for project completion. In addition rush fees are required to be paid in full at the start of the project. You are responsible for all rush shipping and or rush delivery fees if project must be shipped or delivered to you. Audio Blueprint is not responsible or liable for any delays caused by unsuccessful email or fax transmissions, shipments, pick-ups, or deliveries sent from us to you or from you to us or by your failure to notify us of your approval on any projects. Audio Blueprint is not responsible or liable for any delays or problems we may encounter.
RETURNS / REFUNDS
The nature of our service is unique to each project there are No Refunds or Credit.
FILE SPECIFICATIONS
Audio Blueprint requires any files you would like to bring to our studio for tracking, mixing, mastering or production to be Broadcast Wave Files, with each file starting from zero (0) to the end of the song. If we are mixing your project, please bring all individual tracks as broadcast wave files “dry” with no effects. Please do not bring us “stems”. If it is a mastering project, we ask that you bring the finished mix as a stereo broadcast wave file with no additional effects other than what is used in the finished mix. If we are tracking, you may bring a stereo reference track also as a broadcast wave file for the vocalist rather than individual files or stems. Audio Blueprint is not responsible for any delays to your project as a result of incorrect file types or formats.
HOURLY PROJECTS
Hourly rates are only available for vocal or instrument tracking, mixing or mastering sessions. Hourly session minimum time to book is 4 hours. Sessions that require composition, songwriting and production are available under project rates. All hourly projects must be paid in full at the time of booking the session. Block hours available. Any cancellations after session is scheduled will result in forfeit of all monies for studio time scheduled. No credits for studio time will be issued, no exceptions. Sessions may be rescheduled if given 48 hours notice. You must have a set date and time for your substitute session at the time you contact us to reschedule your session, otherwise we will consider it to be a cancellation and you will forfeit all monies paid for session. If sessions are rescheduled more than 3 times, you forfeit all monies. All booked sessions will expire 30 days from date of initial or original booking for “non-use” and you forfeit all monies paid if session is not used within this timeframe. This includes all rescheduled sessions, which must be booked and used within 30 days of the originally scheduled session. No refunds or credits for studio time will be issued for any reason, no exceptions. Session times are not transferrable to other people or projects.
PRODUCTION/COMPOSITION PROJECTS
Production rates are available for our services if you wish for us to compose music, ‘make a beat' or write a complete songs. These services are NOT a “WORK FOR HIRE”. These projects will be subject to a separate production agreement. We offer non-exclusive as well as exclusive use of our work. Your rights do not extend to the use of our musical composition. These uses do not extend to use, licensing or ownership of any of our musical compositions or our authorship of any lyrics. Our work is to only be used as accompanying music with your recording and you will be required to sign a mechanical license for the use of our material. Fees vary depending on level of exclusivity. Our production services will be subject to a production agreement.
PROJECT APPROVAL
Client is fully responsible for final approval and such approval cannot be unreasonably withheld. Hourly or block-hour session clients are expected to give immediate input of their sessions during the session so we can make necessary changes immediately. In the event you wish to have any changes made after your session, you may purchase another set of block-hours or book an hourly session with a 2-hour minimum at our regular rates. In no event shall Audio Blueprint be responsible or liable for the amount of time taken to complete project to your satisfaction. If you a production client, and do not notify us of any changes you would like made within 5 days of receipt of materials , you agree that services for project are to your satisfaction. Any such changes you would like made will be at a rate of $150 per hour with a 4-hour minimum and you will be responsible for any additional producer, studio and or musicians fees that will be required for completion of project to your satisfaction.
CANCELLATION & TERMINATION
Audio Blueprint begins all work immediately; therefore, once you have begun a project with us we are unable to make any cancellations or terminate your project. Due to the nature of our services, no refunds or credits will be issued. No exceptions. Payment will be due in full whether services have been completely rendered by us or not. All scheduled hourly sessions, block-hour sessions and single song production projects must be completed within 30 days from date of initial studio booking. Multiple song projects have a completion timeframe of 3 months. We will make every effort to be available to work on your project. If you are unavailable and project is not completed by you within the allotted time, we reserve the right to terminate the project, you knowingly forfeit any monies paid to us and you will be liable for any outstanding balances due. Audio Blueprint will be held harmless and has the right to refuse to complete your project after allotted time frame. If you wish to have project completed you will be required to pay a fee in addition to any payments that were due on the incomplete project.
SHIPPING AND DELIVERY
In the event we will have to ship or deliver materials to you or you to us, you will be responsible for all shipping fees and payment for those fees are due immediately. Shipping fees must be paid before your project is sent to you. You are responsible for all shipping fees regardless of any type shipping delays, damages, shipping problems or other carrier delivery issues. If you encounter delivery problems with the carrier, you as the receiver must contact the carrier and lodge a complaint and an investigation. It is not Audio Blueprint's responsibility to lodge complaints on your behalf with the shipping company. Audio Blueprint will always act to make sure that any production difficulties do not delay delivery schedules. In no case shall Audio Blueprint be liable for any consequential or damages resulting from any delay in shipment or delivery. You agree not to hold Audio Blueprint liable for delays in shipments caused by weather conditions, shipping company delays, international customs issues or any other circumstances beyond Audio Blueprint's direct control. Shipment and delivery dates are calculated based upon estimates provided by our suppliers and we will be held harmless of any delays. Audio Blueprint will always act to make sure that delivery schedules are met and we will be held harmless of any , unexpected equipment failure, malfunction and or technical problems that may delay the delivery of project. In case of delay caused by technical difficulty, rush charges/fees will not be refunded or waived where applicable. Technical difficulty will not be the grounds for service cancellation. Lost or damaged claims can only be filed for shipments over $50.00 in value and must be reported by you to the respective shipping/freight company immediately. Audio Blueprint is not responsible for damages due to shipping or lost shipments, nor is Audio Blueprint responsible for third party shipping errors, omissions, damaged or lost shipments. Shipping Fees are to be paid to Audio Blueprint regardless of delivery circumstances. If a package is not delivered due to an error made by you in submitting the proper shipping address, Audio Blueprint will re-ship the package with corrected address upon receipt of the additional shipping charge shipment will incur for re-shipment.
ELECTRONIC DELIVERY
Audio Blueprint will always act to make sure that delivery schedules are met and we will be held harmless of any, unexpected equipment failure, malfunction, technical problems or delays that may delay the delivery of project. You will be responsible for any fees associated with the electronic delivery of your project and payments for those fees are due immediately. All fees must be paid before your project is electronically to you. We are not responsible for undeliverable electronic transmissions whether it be due to any glitches with our delivery system, an incorrectly supplied electronic address or failure of any third party delivery systems we may use. You agree to notify us as soon as possible if you have not received your electronic delivery and will make every effort to re-send as immediately as our schedule allows.
IDENTIFICATION
You will be required to provide valid identification. We will accept a valid driver's license/non-driver's license, current passport and social security card at time you schedule and pay for session. NO EXCEPTIONS Production clients will be required to provide both a driver's license and social security card.
INDEMNITY
You agree that you shall indemnify and defend Audio Blueprint and all parties from whom Audio Blueprint has licensed portions of Content, and their directors, staff, officers, and employees, against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses arising out of or related to (i) your breach of these Terms of Use or (ii) any suit, claim, or demand arising from or relating to any audio, video, text, photograph, image, graphic or other material you incorporated into Products. In the event that Audio Blueprint is forced to obtain an attorney to enforce these terms and conditions or defend itself from legal action by you or a representative acting on your behalf. You shall pay all legal fees incurred by Audio Blueprint including any filing fees, court costs and billable fees of the Attorney representing or acting on behalf of Audio Blueprint. Audio Blueprint will not be responsible for reimbursement or payment of any legal fees incurred by you.
GOVERNING LAW
Audio Blueprint is based in Los Angeles, California. Any legal action or proceeding shall be instituted in California. You agree to submit to the jurisdiction of Los Angeles, California courts and agree that venue in these courts is proper in any such legal action or proceeding.
WE RESERVE THE RIGHT TO REFUSE SERVICE WITHOUT DISCLOSING A REASON. ALL SALES ARE FINAL. THERE ARE NO REFUNDS OR CREDITS GIVEN FOR ANY REASON.
